1. Agreement to Terms

By creating an account or using Equipt Blue ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Equipt Blue.

2. Description of Service

Equipt Blue is a business messaging platform that enables teams to manage, automate, and track customer conversations through iMessage, SMS, and other messaging channels. The Service connects to your devices (including macOS computers running Messages.app) to send and receive messages on your behalf.

3. Account Responsibilities

You are responsible for maintaining the security of your account and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information current. You are responsible for all content sent through the Service under your account.

4. Consent Representation

You represent and warrant that, where legally required, you have obtained verifiable consent from each contact before sending them messages through the Service. You are solely responsible for maintaining proof of consent and for honoring opt-out requests promptly.

You acknowledge that sending messages without proper consent may violate applicable laws including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and carrier guidelines. Equipt Blue is not liable for messages sent without proper consent.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy below. Prohibited uses include but are not limited to: sending unsolicited messages, harassment, fraud, impersonation, distributing malware, and any activity that violates applicable law.

6. Messaging Laws and Carrier Requirements

You agree to comply with all applicable messaging laws and regulations, including but not limited to:

  • Telephone Consumer Protection Act (TCPA) and FCC regulations
  • CTIA Messaging Principles and Best Practices
  • Apple's iMessage terms and conditions
  • Carrier content policies and messaging guidelines
  • State and federal telemarketing laws
  • International messaging regulations where applicable

7. Account Suspension and Termination

Equipt Blue reserves the right to suspend or terminate any account that violates these Terms, the Acceptable Use Policy, or applicable laws, without prior notice.

We may also suspend or terminate accounts in response to abuse complaints, carrier complaints, or legal requests. Upon termination, your right to use the Service ceases immediately.

8. Audit Trails and Logging

You acknowledge that Equipt Blue maintains logs and audit trails of messaging activity, including message metadata, timestamps, delivery status, and user actions. These logs may be retained for compliance, security, and dispute resolution purposes, and may be disclosed to law enforcement or regulatory authorities when required by law.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

10. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Equipt Blue shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Your use of the Service is at your own risk.

11. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the version number and date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

1. Information We Collect

We collect information you provide directly to us, including your name, email address, phone number, and business information when you create an account. We also collect information about your contacts, conversations, and messaging activity through the Service.

2. How We Use Your Information

We use your information to provide, operate, and maintain the Service, to process messages on your behalf, to communicate with you about your account, to monitor for fraud and abuse, and to comply with legal obligations.

3. Information Sharing

We do not sell your personal information. We may share your information with service providers who assist us in operating the Service, with your consent, or when required by law. We may disclose information to law enforcement or regulatory authorities when legally required.

4. Data Security

We implement appropriate technical and organizational measures to protect your data, including encryption of sensitive information, access controls, and regular security assessments. However, no method of transmission over the internet is 100% secure.

5. Data Retention

We retain your data for as long as your account is active and for a reasonable period thereafter to comply with legal obligations, resolve disputes, and enforce our agreements. Audit trails and message logs may be retained for compliance purposes.

6. Your Rights

You may access, update, or request deletion of your personal information through your account settings or by contacting your account administrator. You may also opt out of certain communications at any time.

7. Third-Party Services

The Service integrates with third-party providers including Google, Twilio, and telecommunications carriers. These providers have their own privacy policies governing how they handle your data. We encourage you to review their policies.

8. Changes to This Policy

We may update this Privacy Policy from time to time. When we do, we will revise the date above. Continued use of the Service after changes constitutes acceptance of the updated policy.

Acceptable Use Policy

1. Prohibited Uses

You may not use Equipt Blue to engage in any of the following:

  • Sending unsolicited commercial messages (spam) without proper consent
  • Sending messages that are illegal, fraudulent, deceptive, or misleading
  • Harassing, threatening, or intimidating any person
  • Impersonating another person or entity
  • Distributing malware, viruses, or malicious code
  • Sending content that infringes on intellectual property rights
  • Sending content that constitutes hate speech or discrimination
  • Using the Service to violate any applicable law or regulation
  • Attempting to circumvent suppression lists, opt-out requests, or carrier blocking
  • Using auto-dialers or automated systems in violation of TCPA requirements

2. Consent Requirements

Before sending marketing or promotional messages, you must have obtained prior express written consent from the recipient where required by law. For transactional messages, you must have an existing business relationship. You must honor all opt-out requests within 10 business days and maintain records of consent.

3. Content Standards

All messages sent through the Service must include accurate sender identification. You may not disguise or misrepresent the origin of messages. Marketing messages must include a clear opt-out mechanism.

4. Abuse Complaints

Equipt Blue will respond promptly to abuse complaints. If you believe a user is violating this policy, report it to your account administrator. We will investigate and take appropriate action, which may include account suspension or termination.

5. Enforcement

Violations of this Acceptable Use Policy may result in immediate account suspension, termination of service, and referral to law enforcement authorities. We reserve the right to remove or block any content that violates this policy.

6. Logging and Compliance

Equipt Blue maintains audit trails of all messaging activity for compliance purposes. These logs may be used to investigate violations, respond to abuse complaints, and comply with legal obligations.
